These Terms constitute a legally binding agreement between you and Tegis Safety regarding your use of our Services.

Tegis Safety provides a digital platform for creating, managing, and distributing Lockout/Tagout (LOTO) safety procedures. Our Services include:

  • Digital LOTO procedure creation and management
  • QR code generation and scanning functionality
  • PDF export and printing capabilities
  • Multi-site and multi-company organization
  • User role and permission management
  • Photo capture and storage for procedures

3. Account Registration and Security

To access our Services, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your account information remains accurate and up-to-date

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Services in any way that violates applicable laws or regulations

You retain ownership of any content you upload to the Services (procedures, photos, documents). By uploading content, you grant us a non-exclusive, worldwide license to use, store, and display your content solely for the purpose of providing the Services.

You represent that you have the right to upload any content you submit and that such content does not infringe on the rights of any third party.

6. Payment Terms

Certain features of our Services require payment. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide accurate billing information
  • Authorize recurring charges for subscription services

All fees are non-refundable unless otherwise specified. We reserve the right to change our pricing with reasonable notice.

7. Disclaimer of Warranties

  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE SERVICE

Important: Tegis Safety provides tools for managing safety procedures but does not guarantee workplace safety. You are solely responsible for ensuring compliance with all applicable safety regulations and standards.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEGIS SAFETY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, OR GOODWILL
  • COST OF SUBSTITUTE SERVICES
  • ANY DAMAGES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tegis Safety and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any content you submit to the Services

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Services will immediately cease
  • We may delete your account and associated data
  • Provisions that by their nature should survive termination will remain in effect

11. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through:

  • Informal Resolution: We encourage you to contact us first to resolve any disputes amicably.
  • Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.
  • Class Action Waiver: You agree to resolve disputes on an individual basis and waive the right to participate in class actions.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tegis Safety is incorporated, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
